Laws in Business Operations
Lesson 2 of 5
25 min
Imagine following one business, a small furniture workshop in Rubavu, from the day it is registered to the day it sells its first branded chairs to a hotel. At every step a different law sets the rules. The diagram shows the main ones in force in Rwanda in 2026; the table below gives their full titles and where to read them.
| Law | What it governs | A rule every entrepreneur should know |
|---|---|---|
| Law N° 007 of 2021 governing companies (5 February 2021), amended by Law N° 019 of 2023 | How companies are formed, owned, managed and closed | A company needs a name, at least one shareholder and at least one director, one of whom must ordinarily live in Rwanda (Article 6) |
| Law N° 66 of 2018 regulating labour in Rwanda (30 August 2018), amended by Law N° 027 of 2023 | Employment relations in the private sector: contracts, working time, leave, safety, dismissal | The minimum age for employment is 16; a child aged 13 to 15 may do only light work as part of an apprenticeship (Article 5) |
| Law N° 027 of 2022 establishing taxes on income, amended by Law N° 051 of 2023 | Taxes on the income of individuals and companies | Small businesses pay a flat amount or a lump sum based on turnover (Lesson 5) |
| Law N° 049 of 2023 establishing value added tax (5 September 2023) | VAT on goods and services | The standard rate is 18%; a business must register for VAT if its turnover passes Frw 20 million in a year or Frw 5 million in a quarter (RRA, 2023) |
| Law N° 020 of 2023 on tax procedures (31 March 2023) | Registration, declarations, payments, fines | Late declaration and payment bring fines and interest |
| Law N° 011 of 2026 relating to competition and consumer protection (26 February 2026) | Fair competition and the rights of consumers | Duties to inform consumers, display prices, label goods and advertise honestly (Articles 33 to 36) |
| Law N° 055 of 2024 on the protection of intellectual property (20 June 2024) | Industrial property (inventions, utility models, marks, trade names, industrial designs and more) and copyright | A registered mark (brand) stops others from using it on similar goods |
| Law N° 057 of 2024 governing cooperatives in Rwanda (20 June 2024) | How cooperatives are formed and run | A primary cooperative needs at least 10 members (5 for persons with disabilities); members must be at least 16 (Articles 9 and 11) |
The tax-law numbers and dates are those listed by the Rwanda Revenue Authority in its guide Basic Information on Taxation before Starting any Business (October 2023). Laws are amended from time to time, so always check the latest version in the Official Gazette.
Definition
Value added tax (VAT): a tax on the value added at each stage of production and sale, collected by registered businesses from their customers and paid to the Rwanda Revenue Authority. Intellectual property: legal rights over creations of the mind, such as inventions, brand names, designs and creative works. Contract: a legally binding agreement between two or more parties.
Every sale, purchase, loan and job is a contract, whether written or spoken. For an agreement to be enforceable, the general principles of contract law require:
Writing a contract down is not always required, but it makes the terms easy to prove if there is a dispute.
Tip
Law numbers in this course are written in words, such as "Law N° 049 of 2023". The official form uses a slash between the number and the year, and gives the date the law was signed; you will see that form in the Official Gazette. In exams, the name of the law and what it governs matter more than its number.
Worked example 1: VAT on a sale
A VAT-registered furniture workshop sells chairs to a hotel for Frw 50,000 each before VAT. VAT is 18%. (a) Find the VAT and the price the hotel pays per chair. (b) A customer pays a VAT-inclusive Frw 23,600 for a stool; how much of that is VAT?
(a)
(b) A VAT-inclusive price is 118% of the price before VAT, so the VAT is of it:
Note: the VAT belongs to the state, not to the workshop. A common error is to take 18% of the inclusive price, Frw, which is too much.
Worked example 2: which law is broken?
Warning
Laws change. Rwanda replaced its 2012 competition law in 2026 and its cooperatives law in 2024, and amended the companies, labour and tax laws in 2023. A notebook copy of the law from a few years ago may be out of date. Check the Official Gazette or the institution's website before relying on a rule.
USPTOvideo, "Patents, Trademarks, and Copyrights: An overview of intellectual property". The speaker is from the United States patent office, so the procedures differ from Rwanda's, but the three kinds of protection she explains are also covered by Rwanda's 2024 intellectual property law.
