Laws in Business Operations
Lesson 3 of 5
25 min
Kalisa wants to sell packed, dried pineapple from his family's farm in Ngoma to supermarkets in Kigali. A supermarket buyer tells him what she needs before she will stock it: a company registration certificate, a tax identification number, receipts from an electronic billing machine, a label that meets the rules, and evidence that the product is safe and meets the standard. "Each of those comes from a different office," she says. (Illustrative case.)
Think about it: why does the state divide these jobs between several institutions instead of one office?
Definition
Legal institution related to business: a public body, court or other organisation that makes, applies or enforces the rules that businesses must follow, or that settles disputes between them. Some register and license businesses, some collect taxes, some set and check standards, some protect consumers and competition, and some resolve disputes.
| Institution | Main role for business | When an entrepreneur deals with it |
|---|---|---|
| Rwanda Development Board (RDB), Office of the Registrar General | Registers businesses and companies; RDB also promotes investment | When starting, changing or closing a business |
| Rwanda Revenue Authority (RRA) | Collects national taxes and customs duties, and some district taxes on behalf of districts | Tax declarations, VAT, electronic receipts, imports and exports |
| Districts and the City of Kigali | Local taxes and fees, such as the trading licence tax (collected by RRA), and local permits | Every year the business trades |
| Rwanda Standards Board (RSB) | Develops national standards; tests and certifies products and management systems | When seeking a quality mark for a product (Unit 6) |
| Rwanda Food and Drugs Authority (Rwanda FDA) | Regulates the safety of food, medicines and related products | Before selling processed food or health products |
| Rwanda Inspectorate, Competition and Consumer Protection Authority (RICA) | Inspects goods, enforces fair competition and protects consumers | Labelling, pricing, complaints, mergers |
| Rwanda Utilities Regulatory Authority (RURA) | Licenses and regulates ICT, transport, energy, and water and sanitation services | Running a transport, telecom or utility business |
| Rwanda Cooperative Agency (RCA) | Registers, promotes and supervises cooperatives | Forming or running a cooperative |
| Rwanda Social Security Board (RSSB) | Social security for workers | When the business employs staff |
| National Bank of Rwanda (BNR) | The central bank; supervises banks and other financial institutions | Indirectly, through the banks and microfinance institutions a business uses |
| The courts, including commercial courts | Decide disputes and enforce the law | Unpaid debts, broken contracts, insolvency |
| Kigali International Arbitration Centre (KIAC) | Arbitration and mediation of business disputes, outside the courts | When a contract says disputes go to arbitration |
| Ministry of Trade and Industry (MINICOM) and Ministry of Public Service and Labour (MIFOTRA) | Make trade, industry and labour policy and prepare laws | Through policies such as Made in Rwanda, and labour rules |
According to KIAC, it was established in 2010 and officially launched in May 2012, with a mandate to support domestic and international dispute resolution by arbitration, mediation and other alternative methods (KIAC, 2026).

Tip
Group the institutions by job to remember them: register (RDB, RCA), tax (RRA, districts), quality and safety (RSB, Rwanda FDA), fair markets (RICA, RURA), workers (RSSB, MIFOTRA), money (BNR), disputes (courts, KIAC).
Worked example 1: the district trading licence tax
RRA's 2023 guide sets the yearly trading licence tax by turnover; for a turnover between Frw 7 million and Frw 12 million it is Frw 120,000 a year. A business that starts after January pays for the remaining months of the year, including the month it starts. Kalisa starts trading in April. How much does he pay for his first year?
Months charged (April to December, inclusive):
Tax due:
Interpretation: the licence is charged per year, but a business that starts part-way through the year pays only its share. From the following January it pays the full Frw 120,000 if its turnover stays in the same band.
Worked example 2: which institution?
Warning
Do not mix up regulators and courts. Institutions such as RRA, RICA or RURA apply the rules and can impose administrative fines; courts decide disputes and can overturn decisions or order payment. And do not confuse RSB (which sets standards and certifies) with RICA (which inspects and enforces).
